Terms of service

The practical agreement between Quotea and the trade businesses that use it.

The short version

Your first three quotes are free. After that, Quotea costs £19 a month including VAT, renews monthly and can be cancelled at any time. You remain responsible for checking and approving every quote before sending it.

1. Who these terms are with

Quotea is a trading name of Blue Ocean Code Ltd, a company registered in England and Wales under company number 11626451. Our registered office is C/O Aardvark Accounting, 1 Cedar Office Park, Cobham Road, Wimborne, England, BH21 7SB. Our VAT registration number is GB 307 7797 66.

In these terms, “Quotea”, “we”, “us” and “our” mean Blue Ocean Code Ltd. “You” means the person or business using Quotea.

Quotea is provided for business use. By creating an account, you confirm that you are acting wholly or mainly for your trade, business, craft or profession and have authority to bind that business. If mandatory law applies despite that confirmation, nothing in these terms removes rights that cannot lawfully be excluded.

2. Your account

You must provide accurate information, keep access to your email and Google account secure, and tell us promptly if you believe someone has accessed Quotea without permission. You are responsible for activity carried out through your account unless it results from our failure to protect the service appropriately.

If you create or administer an account for a business, you confirm that you have its permission. Account owners are responsible for deciding who may access the business and its quotes.

3. What Quotea does

Quotea helps trade businesses turn job notes into customer-facing quotations, apply their branding, send or share those quotations, and record events such as viewing and acceptance. Some drafting and website-branding features use automated systems.

Quotea improves presentation; it does not inspect the job. Generated wording may be incomplete or wrong. You must check the customer, scope, quantities, exclusions, price, VAT treatment, timing and terms before sharing a quote. You decide what to send and remain responsible for it.

We do not provide legal, tax, accounting, surveying, engineering, compliance or safety advice. Quotea is not a party to the contract between you and your customer, and a customer’s acceptance through Quotea does not make us responsible for either party’s obligations.

4. Your content and customer information

You keep ownership of the job notes, branding, images, quotation content and other material you provide. You give us a limited, non-exclusive licence to host, copy, process and display that material only as needed to provide, maintain and secure Quotea and meet our legal obligations.

You must make sure that:

  • you have the right to upload and use the material;
  • the information you place in a quote is accurate and lawful;
  • you have an appropriate lawful basis and privacy information for customer personal data you put into Quotea; and
  • you do not upload unnecessary sensitive information, payment-card details, passwords or confidential information that Quotea does not need.

5. Free quotes, subscription and VAT

A new business may save its first three quotes without charge. A homepage preview counts only when you choose to keep it in your account. We may prevent attempts to obtain repeated free allowances through duplicate accounts or other misuse.

After the free allowance, Quotea costs £19 per month including UK VAT. The subscription covers one business account and the features shown at purchase. We provide a VAT invoice through our billing provider. Whether you can reclaim VAT depends on your own VAT status and circumstances.

Subscriptions are paid in advance and renew automatically each month using the payment method held by Stripe until cancelled. Stripe processes the payment; we do not receive or store your complete card details. You authorise us and Stripe to take each recurring payment when due.

If payment fails, we may retry it and restrict the creation of new quotes until payment is brought up to date. Existing quotes remain available where reasonably possible.

6. Cancellation and refunds

You may cancel at any time from Settings → Account → Manage billing. If that route is unavailable, email [email protected] from the account owner’s email address. There is no cancellation fee or minimum term.

Cancellation stops the next renewal. Your paid access continues until the end of the billing period you have already paid for. Unless required by law, or we have charged you incorrectly, payments already made are not partially refunded merely because you cancel part-way through a monthly period.

If we make a billing error, contact us and we will correct it. If we end the paid service for convenience rather than because of your breach, we will refund the unused proportion of any prepaid period.

7. Fair use and prohibited activity

You must not use Quotea to:

  • break the law, mislead a customer, impersonate another business or commit fraud;
  • send spam or unlawful marketing;
  • upload malicious code or probe, bypass or interfere with security controls;
  • access another business’s data without permission;
  • overload the service through automated or unreasonable use; or
  • copy, resell or reverse-engineer the service except where law expressly permits it.

We may suspend access where reasonably necessary to protect customers, the service or other people, investigate suspected misuse, comply with law, or address non-payment. Where practical, we will explain the reason and give you a chance to resolve it.

8. Availability and changes

We aim to keep Quotea reliable but cannot promise uninterrupted or error-free access. We may maintain, repair or change the service. We will avoid materially reducing paid core functionality during a prepaid period without a good reason.

We may change the price or these terms. We will give at least 30 days’ notice before a price increase or materially adverse terms change takes effect for an existing paid subscription. You may cancel before the change takes effect.

9. Our intellectual property

Quotea, its software, design, name and original materials belong to us or our licensors. While your account is active, we give you a limited, revocable, non-transferable right to use the service for your own business in line with these terms. This does not transfer our intellectual property to you.

10. Confidentiality

Each party must protect the other party’s confidential information and use it only for the agreement. This does not cover information that is public without breach, was already lawfully known, is independently developed, or must be disclosed by law. We may disclose confidential information to staff and suppliers who need it and are bound to protect it.

11. Privacy and data processing

Our Privacy policy explains how we use personal information for our own purposes, including account administration, billing, security and service improvement.

For personal data that you put into Quotea about your customers, prospective customers or contacts, you are the controller and Blue Ocean Code Ltd is your processor. The data processing terms in the schedule at the end of these Terms form part of this agreement.

12. Third-party services

Quotea relies on carefully selected providers for hosting, email, payments, authentication and automated drafting. Their availability may affect parts of Quotea. Links to third-party sites are provided for convenience; we are not responsible for unrelated third-party products or content.

13. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot legally be limited.

Subject to that, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity. We are not liable for losses caused by quote content you approved, your contract with your customer, or events outside our reasonable control.

Our total liability arising from Quotea in any 12-month period is limited to the greater of £100 and the fees you paid us for Quotea during that period. These limits apply only to the extent permitted by law.

14. Ending the agreement

You may stop using Quotea at any time and cancel a paid subscription as described above. We may end the agreement immediately for a serious or repeated breach, unlawful use or a material security risk, and otherwise on at least 30 days’ notice.

When the agreement ends, your right to use the service ends. You should retain any records you need before closing the account. We may delete or anonymise account content after the account closes, subject to the Privacy policy, legal retention duties and backup cycles. Terms that naturally continue—including payment, confidentiality, intellectual property, data protection and liability terms—remain in effect.

15. General terms

You may not transfer this agreement without our written permission. We may transfer it as part of a genuine sale, reorganisation or transfer of Quotea, provided this does not reduce your rights. If one term is unenforceable, the remaining terms continue. A delay in enforcing a right does not waive it. This agreement does not give rights to anyone else under the Contracts (Rights of Third Parties) Act 1999.

These terms and any dispute or claim connected with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Schedule: customer-data processing terms

Scope and roles

These terms apply when we process personal data on your behalf through Quotea. You are the controller and we are the processor. Processing lasts for the term of your account and any limited period needed for return, deletion, legal compliance and secure backup rotation.

Details of processing

DataNames, email addresses, mobile numbers, job addresses or descriptions, quotation scope, price and commercial details, correspondence, images, and viewing or acceptance status. Quotea is not intended for special-category data.

Our processor commitments

  • We process customer data only on your documented instructions, including these Terms and your use of Quotea, unless UK law requires otherwise.
  • People authorised to process it are bound by confidentiality, and we maintain appropriate technical and organisational security measures.
  • We will reasonably assist you with data-subject requests, security obligations, personal-data breaches, impact assessments and regulator consultations, taking account of the processing and information available to us.
  • We will notify you without undue delay after becoming aware of a personal-data breach affecting customer data.
  • At the end of the service, we will delete or return customer data at your reasonable request unless law requires retention. Data may remain in protected backups until those backups are retired and will not be used for another purpose.
  • We will provide information reasonably needed to demonstrate compliance and permit a proportionate audit no more than once a year, unless a breach or regulator requires more, subject to confidentiality, security and reasonable notice.
  • We will tell you if, in our reasonable view, an instruction infringes applicable data protection law.

Sub-processors and transfers

You give general authorisation for us to use sub-processors needed to operate Quotea. Our current principal providers are identified in the Privacy policy. We require relevant sub-processors to protect customer data on terms consistent with these obligations and remain responsible for their processing to the extent required by law.

We may update providers as Quotea develops. We will give reasonable notice of a material new sub-processor that processes customer content so you can raise a reasonable data protection objection. We will use a lawful transfer mechanism where protected data is transferred outside the UK.

Your controller commitments

You decide what customer data is placed in Quotea and instruct us through your use of the service. You are responsible for the lawfulness, fairness and accuracy of that data, your privacy notices, responding to customers’ rights, and avoiding unnecessary or sensitive data.
